General Terms and Conditions
Introduction: Thank you for your interest in the Digital Garden Tokyo Conference (the “Event”), owned, operated and administered by Better World KK (“Digital Garden Japan”). These General Terms and Conditions (the “Terms”) apply to your participation in the conference.
Registration and Payment Terms
Registration: Registration for the Digital Garden Tokyo Conference may only be completed online on an individual and personal basis. Upon successful registration, a confirmation will be sent via email.
Badges: Badges (or other identification) issued by Digital Garden Japan must be worn at all times within the conference facilities. Badges are non-transferable. Digital Garden Japan reserves the right to refuse entry or remove you from the Event for failing to wear an authorized badge. A charge of 6,000 JPY will apply for the replacement of each badge.
Photography and Media
Permission: By attending the Digital Garden Tokyo Conference, you consent to Digital Garden Japan and its affiliates irrevocable permission to photograph, record, and use your name, likeness, and any other media taken during the Event for any promotional and informational purposes on our website, through digital and print publications, and on any other media platforms.
Payment Methods
Fees: At this time, major credit cards are the only acceptable method for paying registration fees.
Identification; Notices
ID Requirement: You must present valid personal identification to collect your conference badge and other materials on the day of the Event. Badges cannot be picked up by another attendee unless pre-approved in writing by Digital Garden Japan.
Notices: You acknowledge and agree to receive notices regarding the Event by email, text messaging, or digital applications made available by Digital Garden Japan, and to notify Digital Garden Japan promptly of any change in your registered contact details.
Privacy Policy
Data Protection: I have reviewed, acknowledge and accept to be bound by the Privacy Policy available on our website (Link), as may be updated from time to time.
Code of Conduct and Attendee Behavior
Behavior: I have reviewed, acknowledge and accept to be bound by the Code of Conduct available on our website (Link), as may be updated from time to time.
Conduct and Compliance: You agree to be respectful during the Event at all times, to turn off phones and devices that may interfere with the Event, and to comply with our Code of Conduct. Digital Garden Japan reserves the right to remove you for not adhering, in any respect, to the Code of Conduct.
Cancellation and Refunds
Cancellation by Attendee:
Request for Cancellation: If you wish to cancel your registration, you must submit a cancellation request online through our registration system.
Cancellation Fees and Deadlines: Cancellations made no later than two (2) weeks before the event start date will incur a 10% cancellation fee of the total registration fee. Cancellations made after this period will not be eligible for a refund.
Substitution Option: You may opt to transfer your registration to another individual within your company or organization, subject to approval by Digital Garden Japan and an administrative fee of 6,000 JPY. Requests for substitutions must be submitted by February 1st, 2025
Cancellation by Digital Garden Japan:
Event Cancellation: If Digital Garden Japan cancels the conference for any reason other than Force Majeure (defined below), Digital Garden Japan will use its best efforts to provide a full refund of the registration fee to you as soon as reasonably practicable and in any event within 60 days from the date of notice of cancellation.
Limitation of Liability: In the event of cancellation by Digital Garden Japan, except for the refund of registration fees as specified, Digital Garden Japan shall not be liable for any other costs, expenses, or losses incurred by attendees, including but not limited to travel and accommodation expenses.
Non-Attendance:
No-Show Policy: For the avoidance of doubt, in the event you do not attend the conference without prior written cancellation, no refund or credit will be provided.
Unforeseen Circumstances: Attendees who fail to attend due to unforeseen circumstances may request consideration for a partial refund on a case-by-case basis, subject to review and approval by Digital Garden Japan.
Signage
Approval: All signage within the Event area must be approved by Digital Garden Japan. Unauthorized signage will be removed.
Accessibility
Accommodations: Digital Garden Japan is committed to providing an accessible conference experience. If you require any accommodations or have specific accessibility needs, please contact us in advance so we can endeavor to make the necessary arrangements.
Force Majeure
Definition: “Force Majeure” means circumstances which are beyond our reasonable control and which are reasonably likely to affect the successful delivery of the Event or would make it inadvisable, impracticable, illegal, or impossible for us to host the Event or perform our obligations, if any, under these Terms, including circumstances which directly affect you in your home jurisdiction resulting in you being reasonably likely to be prevented from attending the Event.
Actions in Case of Force Majeure: If, as a result of Force Majeure, Digital Garden Japan cancels the Event, we shall use our reasonable endeavors to reschedule the Event to take place within a reasonable period of time after the original date of the Event.
Refunds: If Digital Garden Japan is unable to reschedule the Event in accordance with the above, we shall refund the Participant Fees as soon as reasonably practicable and in any event within 60 days from the date of notice of cancellation.
Limitation of Liability: Except as expressly set forth herein, Digital Garden Japan will have no liability and will have no obligation to pay compensation for any circumstances that are the result of Force Majeure.
Intellectual Property (IP)
Ownership: All content, materials, and intellectual property related to the Event, including but not limited to presentations, documents, and media, are the property of Digital Garden Japan or its licensors. You may not record (by photograph, audio or video recording, live-streaming or otherwise), use, reproduce, or distribute any intellectual property Digital Garden Japan, the Event, or any speakers or sponsors of the Event, including any oral presentations or written or digital materials, without prior written consent from Digital Garden Japan.
Safe Harbor for Promotion: Without limiting the generality of the foregoin, we encourage you, especially as an “influencer”, to take selfies and photos during the event for promotional purposes, provided that (a) selfies should be taken in designated areas and should not disrupt the flow of the event or disturb other attendees, (b) you must obtain permission from speakers before taking photos that include them, particularly in a way that may be used for promotional purposes, and (c) you are welcome to share your selfies and event experiences on social media, provided that you tag the Event’s official accounts and, for the avoidance of doubt, adhere to the Code of Conduct.
Content Usage: By attending the conference, you grant Digital Garden Japan a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute any content or materials you provide during the event, including feedback, questions, and other contributions.
Program Contents
Changes: We reserve the right to modify the agenda, schedule, and content of the Event at any time, with or without notice. You acknowledge and agree that agenda, schedule, and content of the Event may need to be changed in whole or in part to enhance the experience of attendees or in response to then-current facts and circumstances.
Release from Liability
Liability Release: By participating in the Event, you hereby release, agree to indemnify, and will hold harmless Digital Garden Japan, its affiliates, and their respective officers, directors, employees, agents, representatives, and any third parties involved in organizing or managing the event (collectively, the "Released Parties") from and against any and all claims, demands, liabilities, losses, damages, or expenses (including legal fees and costs) arising from or in connection with:
(a) Personal Injury: Any injury, illness, or harm to you that may occur during or as a result of your participation in the conference, including but not limited to injury or illness occurring on the Event premises or while traveling to and from the Event.
(b) Property Damage: Any loss or damage to personal property brought to the Event by you, including but not limited to personal belongings, equipment, and materials.
(c) Event Activities: Any damages or losses resulting from participation in or attendance at conference activities, including but not limited to sessions, workshops, networking events, and any other activities related to the Event.
(d) Force Majeure: Any loss or damage resulting from events beyond the reasonable control of the Released Parties, including but not limited to natural disasters, acts of terrorism, civil unrest, or other events of Force Majeure.
(e) Third-Party Actions: Any claims or disputes arising from interactions with third parties during the conference, including but not limited to exhibitors, sponsors, or other attendees.
Exclusions: The above release of liability does not apply to claims arising from the gross negligence, willful misconduct, or fraudulent actions of the Released Parties. In cases where liability is mandated by applicable law and cannot be excluded or limited by contract, the Released Parties will be liable only to the extent required by such law.
Assumption of Risk: You acknowledge and agree that participation in the Event involves certain risks and agree to assume all such risks associated with your participation. This includes, but is not limited to, risks related to health and safety, travel, and the potential for unforeseen circumstances that may impact the Event.
Service as an Invited Speaker
Speaker Information: If you agree to speak at the Digital Garden Tokyo Conference, we may share your contact and biographical information with event attendees. We may also take your photograph or other digital representation of you. Information such as your name, employer, physical work address, work email address, and a link to your company website and/or professional LinkedIn page may be posted on the event website to facilitate contact with attendees and provide feedback. Additionally, if required, as a speaker, you will complete a release agreement or copyright form prior to, and as a condition to giving, your presentation.
Anti-Bribery and Corruption
Compliance with Anti-Bribery Legislation: You undertake to comply with any applicable anti-bribery, anti-corruption or similar laws, regulations and rules (“Anti-Bribery Legislation”).
Prohibition of Improper Payments: You undertake that you will not, directly or indirectly, pay, offer, give, or promise to pay or authorize the payment of any monies or other items of value to:
(a) an official or employee of a government department, agency, or instrumentality, state-owned or controlled enterprise, or public international organization;
(b) any other person at the suggestion, request, or direction of, or for the benefit of, any of the above-described persons, if any such payment, offer, act, or authorization is for purposes of influencing official actions or decisions or securing any improper advantage in order to obtain or retain business, or engaging in acts or transactions otherwise in violation of the Anti-Bribery Legislation.
Prohibition of Prohibited Payments: You undertake that neither you nor, to your knowledge, any agents or other persons acting on your behalf has directly or indirectly:
(a) violated or is in violation of any Anti-Bribery Legislation;
(b) made, offered to make, promised to make, or authorized the payment or giving of, directly or indirectly, any bribe, rebate, payoff, influence payment, kickback, or other payment or gift of money or anything of value (including meals or entertainment) to any officer, employee, or ceremonial office holder of any government or instrumentality thereof, any political party or supra-national organization (such as the United Nations), any political candidate, any royal family member, or any other person connected or associated personally with any of the foregoing that is prohibited under any applicable law or regulation or otherwise for the purpose of influencing any act or decision of such payee in their official capacity, inducing such payee to do or omit to do any act in violation of their lawful duty, securing any improper advantage, or inducing such payee to use their influence with a government or instrumentality thereof to affect or influence any act or decision of such government or instrumentality (“Prohibited Payments”);
(c) been subject to any investigation by any governmental entity regarding any actual or alleged Prohibited Payment.
Trade Sanctions
Sanctions Compliance: Neither you, nor, to your knowledge, any agents or other persons acting on your behalf:
(a) Sanctions Lists: Is listed on any sanctions list maintained by the Office of Foreign Assets Control of the United States Department of the Treasury (“OFAC”), the United Nations, the United Kingdom, the European Union, the Japanese Ministry of Finance, or any other relevant governmental entity;
(b) Sanctions Compliance: Directly or indirectly, has conducted, conducts, or is otherwise involved with any business with or involving any government (or any sub-division thereof), or any person, entity, or project, targeted by, or located in any country that is subject to, any sanctions administered by OFAC, the United Nations, the United Kingdom, the European Union, the Japanese Ministry of Finance, or any other relevant governmental entity (collectively “Sanctions”);
(c) Support or Facilitation: Directly or indirectly supports or facilitates, plans to support or facilitate, or otherwise becomes involved with, any such person, government, entity, or project;
(d) Sanctions Violations: Is or has ever been in violation of or subject to an investigation relating to Sanctions.
Warranties on Sanctions Compliance: You shall ensure that you are legally entitled to attend the Event and by attending, you warrant that you are not the subject of any Sanctions or trade controls or other restrictions that would preclude your attendance.
Assignment
Assignment by Digital Garden Japan: We may, without your consent, assign, sub-contract, or transfer any and all of our rights and obligations under these Terms to any affiliate or any entity which acquires a material part of the assets of our business, with or without prior notice at any time. Y.K. Transpacific Enterprises is our affiliate.
Sub-contracting of Event Delivery: We may outsource or otherwise sub-contract delivery of the Event to any affiliate (including Y.K. Transpacific Enterprises) which operates the business relating to the relevant information, publication, or data product forming part of the Event.
Assignment by Attendee: You may not assign, sub-license, or otherwise transfer any of your rights under these Terms without our prior written consent.
Governing Law: These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.
